1. Acceptance of Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and TechHive LLP ("Company", "we", "us", or "our"), a limited liability partnership registered under the Limited Liability Partnership Act, 2008 of India, operating the fsiMetrics platform (the "Service").

By accessing or using the Service — whether through our website at fsimetrics.com, our web application, or our desktop applications for macOS and Windows — you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree with any part of these Terms, you must not access or use the Service.

2. Definitions

• "Service" means the fsiMetrics construction feasibility calculator platform, including the website, web application, desktop applications (macOS and Windows), APIs, and all related services.
• "User Content" means any data, inputs, reports, notes, comments, or other materials you create, upload, or transmit through the Service.
• "Account" means your registered user account, created via Google OAuth sign-in.
• "Team" means a collaborative workspace within the Service where multiple Users can share reports and communicate.

3. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

4. User Accounts

• You must sign in using a valid Google account. You are responsible for maintaining the security of your Google account credentials.
• You are responsible for all activities that occur under your Account.
• You must not create multiple accounts, impersonate another person, or use an account belonging to someone else.
• We reserve the right to suspend or terminate your Account at our discretion if we reasonably believe you are in violation of these Terms.

5. Permitted Use

The Service is provided for lawful, professional, and personal use related to construction project feasibility analysis. You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
• Attempt to reverse engineer, decompile, disassemble, or derive the source code of the Service (except to the extent permitted by applicable law);
• Scrape, crawl, or use automated means to access or extract data from the Service without our written consent;
• Circumvent, disable, or interfere with any security features of the Service;
• Upload or transmit viruses, malware, or other harmful code;
• Resell, redistribute, or sublicence the Service or any output thereof as a competing product;
• Attempt to gain unauthorised access to other users' accounts, data, or our backend systems;
• Use the Service in a manner that could damage, overburden, or impair our servers or infrastructure.

6. User Content

Ownership: You retain all ownership rights to your User Content. We do not claim ownership over any data you enter or reports you generate.

Licence: By using the Service, you grant TechHive LLP a limited, non-exclusive, royalty-free licence to store, process, and display your User Content solely for the purpose of providing and improving the Service.

Responsibility: You are solely responsible for the accuracy, legality, and appropriateness of your User Content. You represent that you have all necessary rights to submit such content.

Shared Content: When you share reports to a Team or generate PDF reports, those reports become accessible to the intended recipients. You acknowledge and accept this sharing when you initiate it.

7. Intellectual Property

The Service — including its design, code, logos, trademarks, text, graphics, user interface, algorithms, and calculation logic — is the exclusive property of TechHive LLP and is protected by Indian intellectual property laws, including the Copyright Act, 1957 and the Trade Marks Act, 1999.

You are granted a limited, revocable, non-exclusive, non-transferable licence to use the Service in accordance with these Terms. This licence does not include the right to:

• Copy, modify, or create derivative works of the Service;
• Use our trademarks, logos, or branding without written permission;
• Remove or alter any copyright or proprietary notices.

8. Disclaimer of Warranties & Calculation Accuracy

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Calculation Accuracy: The feasibility calculations provided by the Service are estimates only. They are based on the inputs you provide and publicly available zoning rules, FSI tables, and building regulations. The calculations:

• Do not constitute professional advice (legal, financial, architectural, engineering, or otherwise);
• Should not be relied upon as the sole basis for any investment, construction, or business decision;
• May not reflect the most current government rules, regulations, or market conditions;
• Are only as accurate as the inputs you provide.

You acknowledge that you should consult qualified professionals (chartered accountants, architects, structural engineers, legal advisors, and urban planners) before making any financial commitment or construction decision based on the Service's outputs.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• TechHive LLP, its partners, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.
• This includes, without limitation, loss of profits, loss of data, business interruption, or any damages arising from reliance on the calculations or reports generated by the Service.
• Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you have paid to us (if any) in the twelve (12) months preceding the claim, or INR 5,000 (Indian Rupees Five Thousand), whichever is greater.

10. Indemnification

You agree to indemnify, defend, and hold harmless TechHive LLP, its partners, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use or misuse of the Service;
• Your violation of these Terms;
• Your violation of any applicable law or regulation;
• Any decisions made or actions taken based on the outputs of the Service;
• Any infringement of third-party rights by your User Content.

11. Teams & Collaboration

• Team creators ("Owners") are responsible for managing team membership and shared content.
• When you share a report to a team, all current and future members of that team may access it.
• Comments and discussions within teams are visible to all team members.
• We are not responsible for actions taken by other team members with shared content.
• Team Owners may remove members or delete shared content at their discretion.

12. Service Availability & Modifications

We strive to keep the Service available 24/7 but do not guarantee uninterrupted or error-free access. The Service may be temporarily unavailable due to maintenance, updates, server failures, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

13. Termination

You may stop using the Service and request deletion of your account at any time by contacting us.

We may terminate or suspend your access to the Service immediately, without prior notice or liability, if:

• You breach these Terms;
• We are required to do so by law;
• We discontinue the Service.

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Disclaimer, Limitation of Liability, Indemnification, and Governing Law) shall survive.

14. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Ahmedabad, Gujarat, India.

Before initiating any formal legal proceedings, you agree to first attempt to resolve the dispute informally by contacting us at the email address below. We will attempt to resolve the dispute in good faith within 30 days.

15. Third-Party Links & Services

The Service may contain links to third-party websites or services that are not owned or controlled by TechHive LLP. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You access third-party content at your own risk.

16. Force Majeure

TechHive LLP shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, wars, pandemics, government actions, internet outages, power failures, or acts of God.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

18. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and TechHive LLP regarding your use of the Service and supersede any prior agreements, communications, or understandings.

19. Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we do, we will revise the "Last updated" date at the top of this page. For material changes, we will make reasonable efforts to notify you (e.g., via an in-app notification or email).

Your continued use of the Service after any changes constitutes acceptance of the updated Terms. If you do not agree with the updated Terms, you must stop using the Service.
